Ownership of Site; Agreement to Terms of Use

These Terms and Conditions of Use (“Terms of Use”) apply to the SOONDING website located at www.soonding.com, and all associated websites linked to www.soonding.com by SOONDING, its subsidiaries, and affiliates (collectively, the “Site”).

The Site is the property of SUPPLE MOMENT LLC. (“SOONDING”). BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE, DO NOT USE THE SITE.

SOONDING reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time. It is your responsibility to check these Terms of Use periodically for updates. Your continued use of the Site following any changes means that you accept and agree to the changes.

As long as you comply with these Terms of Use, SOONDING grants you a personal, non-exclusive, non-transferable, limited right to access and use the Site.

Except as expressly provided in these Terms of Use, no part of the Site or any Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including mirroring) to any other computer, server, website, or medium for any commercial purpose, without SOONDING’s prior written consent.

You may use information on SOONDING products and services purposely made available by SOONDING for downloading from the Site, provided that:

You do not remove any proprietary notice language in all copies of such documents;

You make no modifications to such information; and
You do not make any additional representations or warranties relating to such documents.

The Site is provided for informational and branding purposes only. SOONDING does not process transactions or accept payments directly on the Site. All purchases of SOONDING products are exclusively processed through third-party platforms such as Amazon.com.

Additional terms and conditions may apply to specific features of the Site, including promotions, giveaways, or informational services. If any conflict arises between these Terms of Use and terms posted for a specific feature, the latter terms shall prevail for that feature.

SOONDING’s obligations with respect to its products are governed solely by the agreements under which the products are provided (e.g., through Amazon or other platforms).

SOONDING may update product information, descriptions, or availability at any time without notice.

Accounts, Passwords, and Security

Except where prohibited by law, in no event will SOONDING be liable for any indirect, consequential, exemplary, incidental, or punitive damages, including lost profits, even if SOONDING has been advised of the possibility of such damages.

If SOONDING is found liable despite the limitations, its total liability shall not exceed USD $100.00.

Some jurisdictions do not allow limitations of liability, so the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless SOONDING, its affiliates, officers, directors, employees, agents, licensors, and service providers from any demands, losses, liabilities, claims, or expenses (including reasonable attorneys’ fees) arising from:

SOONDING may preserve any transmission or communication with you and may disclose such data if required to comply with legal processes or to protect its rights.

SOONDING may, at its sole discretion and without prior notice, terminate your access to the Site if you violate these Terms of Use or applicable laws.

Governing Law; Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for any dispute arising from or related to your use of the Site.

Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or it is permanently barred.

Void Where Prohibited

SOONDING administers and operates the Site from the United States. Although the Site is accessible worldwide, not all products or features discussed on the Site are available to all persons or in all geographic locations. SOONDING reserves the right to limit the availability of the Site to any person or geographic area at its sole discretion.

If you choose to access the Site from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

Miscellaneous

You may not use or export any Content in violation of U.S. export laws and regulations.

If any provision of these Terms of Use is held to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

These Terms of Use constitute the entire agreement between you and SOONDING regarding the use of the Site.

No waiver of any provision shall be deemed a further or continuing waiver of such term.

Feedback and Information

Any feedback you provide to SOONDING via this Site shall be deemed non-confidential. SOONDING is free to use such information without restriction.
